IRSForm 8822-B: Changing a Business Address or Responsible Party
Form 8822-B(Change of Address or Responsible Party — Business)通知 IRS,而不是重新申请一个 EIN。

- 单成员 LLC 加入第二个成员,默认税务分类可能从非独立实体变成合伙;
Form 8822-B(Change of Address or Responsible Party — Business)通知 IRS,而不是重新申請一個 EIN。

- 單成員 LLC 加入第二個成員,默認稅務分類可能從非獨立實體變成合夥;
Once a business has an EIN, a change of mailing address, business location, or responsible party is reported to the IRS on Form 8822-B, Change of Address or Responsible Party — Business. You do not apply for a new EIN. Address changes should be reported promptly, and under the current IRS instructions a change of responsible party should be reported within 60 days. The form is only a page or so, but one wrong number can stop the update from going through.
This is general information, not tax or legal advice. EIN Apply is a third-party filing help service and is not the IRS.
What Form 8822-B updates
- Mailing address. Where the IRS sends letters and notices.
- Business location. Where the business actually operates, if different from the mailing address.
- Responsible party. The natural person who controls the entity, for example after a change of owner or controlling person.
It does not change the legal name, the entity type, or the tax classification. Each of those has its own procedure.
Why it matters
IRS notices, a requested Letter 147C, refund checks, and inquiry letters all go to the address on file. If that address is stale, you can miss a letter with a response deadline, and the deadline does not move because the mail never reached you. If the responsible party on file is outdated, identity checks can become a problem the next time someone needs to contact the IRS for the company.
Filling it in
The form asks you to tick the type of change, then give the business name and EIN, the old mailing address, the new mailing address, the new business location, and details of the new responsible party.
- Business name and EIN. Use the name exactly as the IRS has it, ideally copied from CP 575 or a 147C.
- Old address. Enter the address in IRS records, not one you remember using somewhere else.
- New address. It must reliably receive IRS paper mail. Use the foreign-address format for an address outside the US.
- New responsible party. Give the name and taxpayer identification number. If the new responsible party has no SSN or ITIN, follow the current instructions; never borrow someone else's number.
- Signature. An owner, officer, partner, or authorized representative signs and states their title.
How to file it
Form 8822-B is generally sent by mail, and the address depends on where the business is located and its situation. Use the address listed in the current instructions. Keep a copy or scan of the whole form and use a trackable mail service. Processing takes time, so mail may keep going to the old address for a while; arrange forwarding there if you can. If you are unsure after a few weeks whether the change went through, confirm the address on file the next time you contact the IRS. If the owner's personal address has also changed, individuals use a different form, Form 8822; keep personal and business changes on separate forms.
A common situation for non-US owners
Foreign founders often change addresses by moving from one mail-forwarding provider to another, or from a home address abroad to a US office. Either way, confirm that the new address will receive IRS paper mail reliably over the long term before filing Form 8822-B. If you depend on a provider that scans incoming mail, ask how quickly government letters are scanned and whether envelopes are kept, since the postmark date can matter. Arrange the next address before the current service contract ends, not after letters start coming back.
When the responsible party changes, think one step further
A change in ownership is sometimes more than a new name on the form:
- a single-member LLC that adds a second member may move from disregarded-entity treatment to partnership treatment by default;
- an acquisition, merger, or reorganization may involve a new entity.
In those cases, Form 8822-B alone may not be enough, and a new EIN or other filings may be needed. Read the IRS page on when a new EIN is required, in its current version, or ask a tax professional before you act.
Update everyone else separately
Form 8822-B updates only IRS records. The state registration, the registered agent, banks, payment platforms, and any state tax accounts each need their own update. When the name, address, and controlling person match everywhere, bank reviews and annual filings go much more smoothly.
Common mistakes
- Applying for a new EIN after a move. The same entity does not get a new number because it changed address.
- Relying only on a new address written on a tax return. The IRS may update records from a return, but Form 8822-B is the explicit route and easier to trace later.
- Leaving out the old address, or entering one that does not match IRS records. The update may fail to match the account.
- Having someone without authority sign. The form may not be processed.
A clean update is unglamorous, but it is what keeps the next IRS letter arriving where you can actually read it.
